Dear Clients:

On December 15, 2025, the Agency for the Administration of State Assets (Agencia de Administración de Bienes del Estado – “AABE”) published Resolution No. 98/2025 (the “Resolution”), whereby it authorized the call for a National Multiple-Stage Public Tender aimed at granting a concession for the use and commercial exploitation of a property owned by the National State, located in Villa Martelli, District of Vicente López, Province of Buenos Aires.

The tender is governed by the Special Terms and Conditions attached to the Resolution (the “Tender Specifications”), which regulate the development of the tender process, its purpose, timelines, participation requirements, submission of bids, and other operational conditions.

A-Property use

The National Multiple-Stage Public Tender No. 392-0006-CPU25 concerns a property owned by the National State located in Villa Martelli, facing Juan Bautista de La Salle s/n, identified cadastral-wise as set forth in the documentation included in the administrative file, with an approximate surface area of 509,759.79 m², currently under the jurisdiction of the National Secretariat of Culture.

The purpose of the concession is the development of recreational, leisure, and entertainment activities. In addition, the Tender Specifications provide for the complementary incorporation of non-competitive sports activities, workshops, cultural initiatives, community programs, and other related initiatives compatible with the main purpose.

1-Applicable legal framework

The Resolution provides that the procedure is governed by the National Public Procurement Regime, approved by Decree No. 1023/2001, and its implementing regulations approved by Decree No. 1030/2016, both issued by the National Executive Branch. Likewise, the Regulations for the Management of National State Real Estate Assets, approved by AABE Resolution No. 177/2022, as amended by AABE Resolution No. 60/2024, are also applicable.

The procurement procedure will be conducted through the National Electronic Public Procurement System (“COMPR.AR”), in accordance with the applicable regulations governing public procurement at the national level.

B-Economic Conditions of the Concession

The National Appraisal Tribunal set the monthly base fee (canon) of the concession at ARS 611,000,000, equivalent to 367,046 Acquisition Value Units (UVAs). Considering the total term of the concession, 300 months (25 years), extendable once for an additional 12 months, the minimum estimated economic value amounts to ARS 183,300,000,000 and 110,113,800 UVAs.

Economic proposals must comply with these minimum values and must be submitted both in UVAs and in Argentine pesos, in accordance with the requirements set forth in the Tender Specifications.

In addition to the canon, the Tender Specifications impose other economic obligations on the successful bidder, including: (i) fire insurance for a minimum amount of ARS 60,000,000,000; (ii) a monthly commission of 2% of the offered canon; (iii) the assumption of applicable taxes, fees, and utilities; and (iv) the provision of guarantees related to the committed investment, including an investment guarantee equivalent to 20% of the total investment offered, under the terms of the Tender Specifications.

C-Participation requirements

The tender procedure is structured as a National Multiple-Stage Public Tender. In this context, the submission and evaluation of documentation are carried out in two separate stages, pursuant to Article 8 of the Tender Specifications:

1-Stage Nº 1: Administrative, Commercial, Accounting, and Financial Background. Bidders must submit background information and documentation related to: (i) Eligibility to contract with the National State, including tax, social security, and registry verifications (REPSAL and ARCA); (ii) Compliance with Decree No. 202/2017, regarding conflicts of interest and the corresponding sworn statements; (iii) Integrity Program pursuant to Law No. 27,401, applicable to legal entities; (iv) Sworn statement of site visit and knowledge of the property; (v) Bid bond in the amount of ARS 18,330,000,000; and (vi) Evidence of technical and financial background, including solvency, banking references, minimum experience in the relevant sector, among others.

All such documentation must be uploaded to the COMPR.AR System under Step 3: “Enter minimum requirements.”

2-Stage Nº 2: Technical and Economic Proposal. At this stage, bidders must submit the technical contents related to the comprehensive project and the economic offer, including: (i) Architectural project and technical documentation, including a descriptive report, preliminary design, and works plan; (ii) Complete investment plan, including sources of financing and the economic-financial cash flow; and (iii) Offered canon, expressed in UVAs and Argentine pesos, using the corresponding form.

This documentation must be uploaded to the COMPR.AR System under Step 2: “Complete economic offers.”

In addition, the Tender Specifications expressly require compliance with the following formal requirements: (i) Registration and/or pre-registration in SIPRO, with updated information; (ii) Submission of bids, inquiries, and notifications through the COMPR.AR portal; (iii) Provision of guarantees under the terms established in the Tender Specifications; and (iv) Evidence of technical, economic, and financial solvency, depending on the type of bidder (individual, legal entity, or joint venture).

In accordance with the Tender Specifications, we are sharing the COMPR.AR User Manual to facilitate the electronic submission of bids and the proper uploading of documentation at each stage.
