Dear Sir or Madam,

General Inspection of Corporations (IGJ, for its initials in Spanish) General Resolution No. 29/2020, published in the Official Gazette today, regulates distance supervision of commercial corporations and civil entities, subject to the IGJ’s controlling body, for which this resolution resolves as follows:

(i) Terms set forth in IGJ’s General Resolution No. 7/2015 shall be applicable in distance supervision cases, providing that they compatible and analogical.
(ii) Publications of summons to distance-held meetings, in accordance with IGJ’s General Resolution No. 11/2020 and/or by-law provisions, be them ordinary or extraordinary, shall individually state the entity’s tax identification number (CUIT) and submit a contact e-mail address, which shall be used for notices.
(iii) Proceedings request of auditors appearance by the interested party, in meetings subjected to inspection at a distance or on-site, shall be conducted remotely in their entirety, from the beginning, according to procedure and modality indicated in the IGJ’s web page https://www.argentina.gob.ar/justicia/igj
(iv) In cases not foreseen by regulations mentioned in item (i), issuance of instructions for application of this rule to cover non-regulatory aspects shall be delegated to the Commercial Corporations Directorate, the Civil Entities Directorate and/or the Agencies of Complaints and Auditing of Commercial Corporations and Civil Entities.

The resolution herein shall become effective upon its date of publication.
