Dear Sir or Madam,
Resolution No. 2/2021 of the Public Registry of Commerce (the General Inspection of Corporations, “GIC”), published in the Official Gazette today, establishes the requirements and procedures applicable to the submission of financial statements of the Simplified Stock Corporations (“SSC”) through digital means before the GIC, previously resolved by GIC Resolution No. 9/2020, amended by GIC Resolution No. 44/2020.
The SSC will prepare their financial statements in accordance with the current accounting standards in force, and they must be submitted by digital means before the GIC within 15 days after the date of the meeting of the governing corporate body that approved them.
This resolution shall enter into force within 15 days after its publication, and such obligation will be extended to the fiscal year ended on June 30th, 2020.
Also, the infringements with the provisions of the aforementioned Resolution shall be grounds for the imposition of penalties provided by articles 12 and 13 of Law No. 22,315 and 302 of Law No. 19,550.
