Buenos Aires, December 12th, 2022. On December 6th, Vista Energy Argentina S.A.U. (“Vista”) issued the following simple, non-convertible into shares Notes: Series XV Notes, denominated and payable in US dollars, for a total nominal amount of US$13.500.000; Series XVI Notes, denominated in US dollars, exclusively integrated through the exchange of Series V and IX issued by Vista, and payable in Argentine pesos, for a total nominal amount of US$63.450.309; and Series XVII Notes, denominated in US dollars, integrated and payable in Argentine pesos, for a total nominal amount of US$39.118.007 (all the three Series, the “Notes”). The Notes were issued under the company’s Global Program of up to US$800,000,000 (or its equivalent in other currencies or units).

Series XV Notes, maturing on January 20th, 2025, will accrue interest at a nominal annual fixed rate, equivalent to 4,00%, and will amortize its principal in one payment on the maturing date. Series XVI Notes due on June 6th, 2026, will accrue no interest and will amortize 100% of its principal on the due date. Series XVII, maturing on December 6th, 2026, will accrue no interest and will amortize its principal on the due date.

These Notes were admitted for listing on Bolsas y Mercados Argentinos S.A., and authorized for trading at Mercado Abierto Electrónico S.A. On November 30th, Moody’s Local AR Agente de Calificación de Riesgo S.A. locally rated the Notes as follows: Series XV Notes, “AA+.ar”, and Series XVI and XVII Notes, “AAA.ar”.

In Series XV Notes, Banco BBVA Argentina S.A., Banco Macro S.A., and Macro Securities S.A.U. acted as placement agents. The placement agents of Series XVI and Series XVII Notes were Banco BBVA Argentina S.A., Banco de Galicia y Buenos Aires S.A.U., Banco Macro S.A. and Macro Securities S.A.U. (all together, the “Placement Agents”).
