Beccar Varela advises on the issuance of Tarjeta Naranja’s Class LII notes.

Buenos Aires, April 6th, 2022. Last April 5th, Tarjeta Naranja S.A. issued Class LIII Notes, simple, non-convertible into shares, and unguaranteed. The issuance was carried out under the company’s Global Program of up to US$1,000,000,000, in two series, for a total nominal amount of AR$8,725,275,841.

Series I was issued for a nominal amount of AR$4,532,664,152, maturing on April 5th, 2023, accruing interest at a floating rate, equivalent to Badlar private rate plus a cut-off margin of 3.75%, and amortizing its principal in one payment on its maturing date. Series II was issued for a nominal amount of AR$4,192,611,689; it will mature on April 5th, 2024, will accrue interest at a floating rate, equivalent to Badlar private rate plus a cut-off margin of 5.25%, and will amortize its principal in a single payment on the maturing date.

On March 28th, FIX SCR S.A. locally rated Class LIII notes Series I and Series II “A1(arg)” and “AA-(arg)”, respectively. These notes were admitted for listing on Bolsas y Mercados Argentinos S.A. and authorized for trading at Mercado Abierto Electrónico S.A.

In this issuance of notes, Banco de Galicia y Buenos Aires S.A.U. acted as organizer and placement agent, while Banco Comafi S.A., Banco Patagonia S.A., Banco Supervielle S.A., Macro Securities S.A. and Nuevo Banco de Santa Fe S.A. acted as placement agents. All parties turned to Beccar Varela’s team, led by Luciana Denegri, assisted by associates María Victoria Pavani, María Inés Cappelletti, Julián Ojeda, Tomás Cappellini, and María Belén Tschudy.
