BECCAR VARELA ADVISES ON NEWSAN S.A’S CLASS 21 NOTES’ ISSUANCE

Buenos Aires, June 7th, 2024. On May 9, 2024, Newsan S.A. (“Newsan”) issued the Class 21 Notes (the “Notes”), which placement was made for a total nominal amount of AR$13,060,705,426 of which AR$10,073,258,639 were paid in cash and AR$2,987,446,787 were paid with Class 15 Notes.

The issuance was made under the global program for the issuance of short, medium and long-term negotiable obligations for a nominal amount of up to US$300,000,000 authorized by the CNV.

The Notes will mature on May 9, 2025, and will accrue interest at a variable rate, which will be equivalent to the sum of the Private Badlar Rate plus a cut-off margin of 6% n.a. In addition, 100% of the principal will be amortized on their maturity date.

Also, the Class 21 Notes due 2025 have been locally rated “ML A-1.ar” by Moody’s Local AR Agente de Calificación de Riesgo S.A. on April 30, and were authorized for trading in the Mercado Abierto Electrónico S.A. and in Bolsas y Mercados Argentinos S.A.

In the issuance of the Class 21 Notes, Newsan S.A. acted as issuer, whilst Banco BBVA Argentina S.A., Banco de la Provincia de Buenos Aires, Banco de la Provincia de Córdoba S.A., Macro Securities S.A.U.,  Banco de Servicios y Transacciones S.A.,  Banco Hipotecario S.A.,  Banco Supervielle S.A., Consultatio Investments S.A., Industrial and Commercial Bank of China (Argentina) S.A.U., Industrial Valores S.A.,  Adcap Securities Argentina S.A. y Nuevo Banco de Santa Fe S.A. acted as placement agents; all parties were advised by the team of Beccar Varela led by Luciana Denegri with the participation of María Victoria Pavani, Julián Ojeda and Martina Puntillo.
